Terms of Use
By using NewaFrame.com ("Service"), you agree to these Terms of Use. If you do not agree, please do not use the Service.
NewaFrame (NewaFrame.com) is the brand under which this Service is provided.
1. Eligibility
You must be at least 16 years old to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent of a parent or legal guardian where required by applicable law.
2. Account and Access
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate and complete information and keep it up to date.
We may suspend or restrict access to your account if we suspect unauthorized use or a violation of these Terms.
3. Credits and Payments
Payments are processed via Stripe. Credits are added to your account after successful payment and may be used to download content and obtain licenses on NewaFrame. Detailed usage rights for downloaded files are set out in our License Terms.
- Credits are non-transferable between accounts.
- Credits do not expire while your account remains active.
- Credits are forfeited if your account is permanently closed or deleted.
- Unused credits are non-refundable except where required by applicable law.
Certain purchases may be available to guest users. For such purchases, download links may be subject to limits (for example, number of downloads or time validity), currently up to 5 downloads within 7 days. These limits may be updated for security or anti-abuse purposes.
4. Refunds
Refunds are not provided except where required by applicable law. This includes unused credits, which are non-refundable unless mandatory legal rights apply.
5. Taxes and Invoicing
Where applicable, taxes (including VAT, GST, or sales tax) are calculated at checkout based on your billing details and applicable law.
Unless stated otherwise, displayed prices may be exclusive of tax. Final tax-inclusive amounts are shown at checkout and on the invoice.
We may issue invoices and payment records in electronic form. You are responsible for providing accurate billing and tax information.
6. Content Ownership and Site Materials
All content made available on the Service, including full-resolution files, previews, thumbnails, watermarked images, and video clips ("Content"), is owned by NewaFrame or its licensors.
Purchasing credits or downloading Content does not transfer copyright ownership. Rights to use downloaded Content are granted solely under the applicable License Terms.
If these Terms and the License Terms conflict regarding permitted use of downloaded Content, the License Terms control.
7. Prohibited Use of the Service and On-Site Content
Without our prior written consent, you must not:
- Use any Content on the Service (including previews and thumbnails) for training, fine-tuning, or validating machine learning or generative AI models, whether for commercial or non-commercial purposes, or include such Content in datasets for those purposes.
- Scrape, bulk-download, or systematically collect Content, previews, thumbnails, metadata, or media in a way that circumvents normal browsing or technical restrictions.
- Tokenize, mint, sell, or otherwise offer any Content as an NFT or other blockchain-based collectible or investment product.
- Attempt to bypass, disable, or interfere with technical, payment, access, or download restrictions.
- Use the Service or its Content in any way that is unlawful or infringes the rights of others.
8. Use of Licensed Downloads
Downloaded Content is subject to the applicable License Terms. Unless expressly permitted by the License Terms, you must not:
- Resell, sublicense, distribute, or make Content available as standalone files.
- Include Content in any product where the Content is the primary value.
- Use Content in a misleading, deceptive, or unlawful manner.
9. Service Availability
We strive to keep the Service available, but we do not guarantee uninterrupted or error-free access.
The Service is provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law.
10. Suspension, Chargebacks, and Fraud
We may temporarily suspend or restrict access to the Service in connection with violations of these Terms, chargebacks or payment reversals, or suspected fraud, abuse, or security risks.
During temporary suspension, previously granted licenses remain valid under the License Terms, and your existing credit balance remains on your account until access is restored or a final decision is made.
11. Termination
We may terminate or permanently restrict access to the Service in cases of severe or repeated violations of these Terms, unlawful activity, or confirmed fraud or payment-related abuse.
Unless termination is required by law or results from fraud or abuse, licenses granted before termination remain valid under the License Terms.
Any credits remaining at the time of account closure or deletion are forfeited.
12. Limitation of Liability
To the maximum extent permitted by applicable law, NewaFrame is not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising out of or related to use of the Service.
13. Governing Law and Disputes
These Terms are governed by the laws of Estonia. Before filing a legal claim, both parties agree to attempt a good-faith resolution by email for 30 days.
14. Changes
We may update these Terms from time to time. If changes are material, we will indicate an updated "Last updated" date. Continued use after changes constitutes acceptance where permitted by law.
